TURBO TRADES TERMS AND CONDITIONS

Effective date: 08.10.2026
Last updated: 08.10.2026

1. Introduction and General Provisions

1.1. Purpose and Scope

These Turbo Trades Terms and Conditions (the “Agreement”) set out the terms and conditions pursuant to which an individual (the “Client”, “You” or “Your”) may access and use the Turbo Trades trading mechanic (the “Service”) made available on the Zemmy Trade platform (the “Platform”).
Your access to and use of the Service is fully and exclusively subject to Your acceptance of and compliance with this Agreement, together with any other terms, policies, rules and agreements applicable to Your use of the Platform and duly made available by the Company.
By accessing or using the Service, including by opening a Turbo Trade, You acknowledge that You have read, understood and agreed to be bound by this Agreement and the documents incorporated herein by reference. If You do not agree with the terms of this Agreement, You must refrain from using the Service.

1.2. Company

The Service is provided by ASSETA (BVI) LTD., a company duly incorporated and existing under the laws of the British Virgin Islands, with the registered address at Mandar House, 3rd Floor, Johnson’s Ghut, Tortola, British Virgin Islands (the “Company”).

1.3. Subject of the Agreement

The subject of this Agreement is to establish the terms and conditions applicable to the opening, maintenance, expiration and settlement of Turbo Trades between the Company and the Client. The definition of “Turbo Trade” is set out in Section 2 (Terms and Definitions) of this Agreement.

1.4. Acceptance and Contract Formation

This Agreement, as published on the Company’s website and/or otherwise made available through the Platform, constitutes an invitation to users to enter into a contractual relationship with the Company on the terms set out herein. Such invitation does not constitute a public offer, and the Company reserves the right, at its sole and reasonable discretion, to refuse to enter into a contractual relationship with any person, with or without providing reasons for such refusal.
Where a contractual relationship has already been established, the Company may, subject to the applicable provisions of this Agreement and other governing documents, suspend or terminate such relationship and/or restrict or block the Client’s access to the Platform or the Service.
The Client’s registration on the Platform or completion of the applicable account opening procedure constitutes the Client’s full and unconditional acceptance of this Agreement and the terms governing the use of the Service.
The contractual relationship between the Company and the Client in respect of the Service becomes effective upon completion of the applicable registration or account opening procedure, subject to the Company’s acceptance of the Client in accordance with its applicable onboarding and eligibility requirements.
Each Turbo Trade opened by the Client through the Platform constitutes a separate transaction concluded pursuant to and governed by this Agreement. A Turbo Trade is deemed to be concluded when the Client confirms the opening of the relevant trade and the Company’s system records the relevant trade as opened.
Upon opening a Turbo Trade, the terms applicable to that particular trade, including the Asset, Trade Amount, Direction, Duration, Expiration Time and Profit Percentage, are recorded in the Company’s systems and become binding on the parties, subject to the provisions of this Agreement relating to technical errors, pricing errors, market disruptions and other exceptional circumstances.

1.5. No Physical Delivery

Opening a Turbo Trade does not result in the purchase, sale, transfer or delivery of the Asset. The Client does not acquire ownership of, or any other proprietary interest in, the Asset by opening a Turbo Trade. The Asset Price is used solely to determine the outcome and settlement of the relevant Turbo Trade in accordance with this Agreement.

1.6. Quote Feed and Asset Prices

The Client acknowledges that the quote feed and Asset Prices used for the purposes of opening and settling Turbo Trades are determined on the Company’s servers and that the information available on the Company’s servers constitutes the only reliable source for such quote feed and Asset Prices.
The Company may, at its reasonable discretion, use various sources of market and other relevant information to form and determine the quote feed on its servers, including, but not limited to, exchange-traded, over-the-counter and other sources of information, in accordance with the applicable pricing methodology for the relevant Asset.
Any information concerning the price or quote feed obtained from sources other than the Company’s servers, including third-party websites, trading platforms, data providers or other sources, shall not constitute a sufficient basis for cancellation, termination, revision or recalculation of a Turbo Trade.
The Client acknowledges that the quotes displayed on the Platform may differ from the quote feed available on the Company’s servers. In particular, due to network latency, an unstable connection between the Client’s device and the Company’s servers, technical limitations or other factors, certain quotes may not be displayed on the Platform or may be displayed with a delay.
Charts and other graphical representations of Asset Prices available on the Platform are provided for informational and illustrative purposes only and may not constitute an authoritative source for determining the outcome or settlement of a Turbo Trade. The Company does not guarantee that a Turbo Trade will be opened or settled at a price displayed on a chart or other graphical representation at the time the Client submits a request to open a Turbo Trade.
For the purposes of Turbo Trades, the Asset Price is calculated as the arithmetic mean of the applicable Bid and Ask prices, as follows: Asset Price = (Bid + Ask) / 2.
The Asset Price calculated in accordance with this methodology is used to determine the Opening Price and Expiration Price of a Turbo Trade in accordance with this Agreement.

1.7. Incorporation of other Terms

This Agreement shall be read together with the other terms and policies governing the Client’s use of the Platform located at https://zemmytrade.com/pages/terms/, including, where applicable, the Privacy Policy, Cookies Policy, Risk Disclosure, Bonus Terms, and other documents expressly incorporated by reference.
In the event of a conflict between this Agreement and another document with respect to matters specifically relating to Turbo Trades, this Agreement shall prevail to the extent of such conflict, unless expressly provided otherwise.

The Company may use reasonable technical, technological and software-based tools and procedures to verify the authenticity and validity of documents and information provided by the Client for identification, verification or other compliance purposes. Any suspected forgery, alteration, falsification or other fraudulent use of documents or information may be treated by the Company as a material breach of this Agreement and may result in immediate restriction or termination of the Client's access to the Service. Where required or permitted by applicable law, the Company may report suspected document fraud or other fraudulent activity to the relevant competent authorities and provide them with the relevant documents, information and personal data.

1.9. Personal Use of the Service

In particular, the Client shall not:
a) enter into arrangements or coordinate actions with other Clients for the purpose of causing damage to the Company or obtaining an unfair advantage;
b) exploit technical errors, malfunctions, defects or vulnerabilities of the Platform, the Service, the Company's systems or Market Data;
c) use delays, interruptions, inconsistencies or other technical features of the quote feed or the Platform to obtain an unfair advantage;
d) use any electronic device, software, algorithm, automated mechanism, trading strategy or other technical means for the purpose of manipulating or obtaining an unfair advantage from the way in which the Company provides, processes or determines Asset Prices or otherwise operates the Service;
e) use latency, price, time or other technical arbitrage practices intended to exploit discrepancies, delays or errors in the Service or Market Data;
f) distribute or otherwise disclose information concerning technical vulnerabilities of the Platform or the Company's systems for the purpose of facilitating their exploitation; or
g) use any other unfair, dishonest or abusive method in connection with Turbo Trades, the Platform or the Service.

1.11. Compliance with Applicable Laws

The Client shall comply with all applicable laws and regulations in connection with the Client's use of the Service, including applicable requirements relating to financial crime prevention, fraud, money laundering, terrorist financing, sanctions and other unlawful activities.
The Client shall not use the Platform or the Service for the purpose of facilitating, concealing or otherwise supporting any illegal financial activity or other unlawful transaction.
The Client represents and warrants that the Client's use of the Service and all actions performed under this Agreement will not violate any law, regulation, rule or other legal requirement applicable to the Client, the jurisdiction in which the Client is resident or located, or any agreement by which the Client is bound or which affects the Client's assets or funds.

The Client shall not:
a) use third-party payment instruments to deposit funds into the Client's Account, unless expressly permitted by the Company;
b) deposit or transfer funds to the Account of another Client using the Client's payment instruments or otherwise on behalf of another person; or
c) withdraw or transfer funds to payment instruments or accounts belonging to third parties, except where expressly permitted by the Company and applicable law.

1.13. Account Credentials and Access

The Client shall use only the Client's own Account and account credentials when accessing the Platform and opening Turbo Trades.
The Client shall not transfer, disclose or otherwise make the Client's account credentials available to any third party, or use the account credentials of another Client.
The Company may take reasonable measures to verify the identity of the person accessing the Account and may restrict access temporarily or permanently or require additional verification where reasonably necessary to protect the Account, the Service or other Clients.

1.14. Eligibility and Restricted Persons

The Client represents and warrants that the Client is eligible to use the Service in accordance with the Company's applicable eligibility, onboarding, KYC, sanctions and compliance requirements.
The Client further represents and warrants that the Client:

If the Company determines that a Client falls within any of these categories, the Company may refuse to establish a contractual relationship with such person or, where the contractual relationship has already been established, restrict, suspend or terminate the Client's access to the Service in accordance with this Agreement and applicable law.
The Company may also refuse to establish a contractual relationship with, or restrict, suspend or terminate access to the Service by, any person who is subject to applicable sanctions, resides in or is located in a restricted jurisdiction, or otherwise does not meet the Company's eligibility or compliance requirements.
For the purposes of this Section, the terms "politically exposed person", "family member" and "close associate" shall be interpreted in accordance with applicable law, generally accepted international standards and the Company's applicable compliance policies.
The Client shall promptly notify the Company if any information or circumstance relevant to the Client's age, eligibility, legal status, place of residence, PEP status, sanctions status or other applicable compliance requirements changes.

1.15. Consequences of Breach

Any breach by the Client of any representation, warranty, obligation, restriction or other requirement set out in this Section 1 and this Agreement may result, at the Company's reasonable discretion and subject to applicable law, in the rejection or cancellation of any request, restriction, suspension or blocking of the Client's access to the Service or Account, termination of this Agreement, cancellation or adjustment of any affected Turbo Trade, withholding or reversal of amounts associated with such Turbo Trade, and/or any other measures available to the Company under this Agreement or applicable law.
The Company may take any of the above measures immediately and without prior notice where reasonably necessary to prevent fraud, abuse, unlawful activity, damage to the Company or other Clients, or further violation of this Agreement.
The Company may also take any measures required or reasonably necessary to comply with applicable law, regulatory requirements, sanctions, court orders, requests from competent authorities or the Company's applicable compliance policies.

2.5. Turbo Trade

A Turbo Trade allows the Client to select a Direction for the price movement of a selected Asset over a selected Duration. The Client chooses the Asset and specifies the Trade Amount, Direction and Duration when opening the Turbo Trade. The outcome of the Turbo Trade is determined at its Expiration Time by comparing the Opening Price and the Expiration Price of the relevant Asset in accordance with this Agreement. Depending on the outcome, the Turbo Trade may result in a Win, Loss or Standoff.
The Company does not provide the Client with the opportunity to assume obligations exceeding the Trade Amount. The Company does not provide leverage in connection with Turbo Trades.

2.6. Trade Amount

“Trade Amount” means the amount of funds allocated by the Client to a particular Turbo Trade and deducted from the Client’s Account upon opening of the Turbo Trade. 2.7. Direction

2.13. Maximum Profit Percentage

“Maximum Profit Percentage” means the maximum Profit Percentage currently available to the Client for the selected Asset, taking into account the Client’s applicable Service Level and other applicable parameters. The Maximum Profit Percentage is displayed before the Turbo Trade is opened and does not constitute a guarantee that the relevant Turbo Trade will be assigned that percentage.

2.14. Profit

“Profit” means the amount calculated in respect of a Turbo Trade that closes with a Win, based on the Trade Amount and Profit Percentage, as follows: Profit = Trade Amount * Profit Percentage / 100. The Profit is credited to the Client’s Account in addition to the return of the Trade Amount.

2.15. Payout

“Payout” means the total amount credited to the Client’s Account in connection with a Turbo Trade upon its closing, where applicable. In the event of a Win outcome, the Payout consists of the return of the Trade Amount and the applicable Profit. In the event of a Standoff outcome, the Payout equals the Trade Amount. 2.19. Error

“Error” means the status or outcome assigned to a Turbo Trade where the Turbo Trade cannot be opened, closed or settled in accordance with the normal trading process due to a technical error, pricing error, market disruption or other exceptional circumstance. The consequences of an Error, including the treatment of the Trade Amount, shall be determined in accordance with the applicable provisions of this Agreement.

2.20. Service Level

When the Client uses funds to open Turbo Trades, the Client’s Real Funds are used first. Bonus Funds may be used for Turbo Trades only after the Client’s available Real Funds have been fully used.
Bonus Funds are subject to the applicable bonus terms and conditions established by the Company, including any conditions relating to their use, turnover, deduction, conversion into Real Funds (if applicable), withdrawal or expiry. “Platform” means the Zemmy Trade website (https://zemmytrade.com/), trading terminal, mobile application and/or other software interfaces through which the Company makes the Service available to the Client.

3. Opening of Turbo Trades

3.1. A Turbo Trade is opened when the Client’s request to open the Turbo Trade is accepted by the Company’s system and the corresponding record is created in the Company’s server database.
3.2. Before opening a Turbo Trade, the Client selects the essential conditions of a Turbo Trade: the Asset (the Underlying Asset), Trade Amount and Duration. The Client then selects the Direction by pressing the “Up” or “Down” button, which constitutes the Client’s request to open the Turbo Trade. The available Duration options may vary depending on the selected Asset.
3.3. Before submitting the request to open a Turbo Trade, the Client reviews the selected Asset, Trade Amount and Duration, current information concerning the selected Asset, applicable Maximum Profit Percentage and other terms displayed on the Platform.
3.4. To open a Turbo Trade, the Client submits a request by pressing the “Up” or “Down” button corresponding to the selected Direction of the Underlying Asset. By pressing the relevant button, the Client confirms the essential conditions of a Turbo Trade (including the Direction) and submits a request to open the Turbo Trade on the applicable terms.
3.5. The request to open a Turbo Trade is transmitted to and processed by the Company’s server. The Company’s system checks the request for compliance with the applicable requirements, including the availability of sufficient funds and the applicable trading conditions. If the request is accepted by the Company, the Turbo Trade is opened and the Trade Amount is deducted from the Client’s available funds.
3.6. A request to open a Turbo Trade may be rejected if:
a) the available funds are insufficient to cover the Trade Amount;
b) the selected Asset or Duration is no longer available for trading;
c) the applicable conditions for opening the Turbo Trade are no longer satisfied at the time the request is processed;
d) the Service or the selected Asset is temporarily unavailable due to technical reasons, market conditions or other circumstances; or
e) other circumstances or restrictions established by the Company apply at its own discretion.
3.7. Upon acceptance of the request and opening of the Turbo Trade, the Company’s system records the relevant parameters of the Turbo Trade, including the Asset, Trade Amount, Duration, Direction, Opening Price, Expiration Time and Profit Percentage.
3.8. The Profit Percentage applicable to a particular Turbo Trade is assigned by the Company at the moment the Turbo Trade is opened and remains fixed for the entire Duration of that Turbo Trade.
3.9. The Maximum Profit Percentage displayed before the opening of a Turbo Trade represents the maximum Profit Percentage that may be available for the selected Asset and the Client’s applicable Service Level. It does not guarantee that such percentage will be assigned to the particular Turbo Trade. The Profit Percentage applicable to the particular Turbo Trade is determined upon its opening and is displayed and recorded by the Company’s system.
3.10. The result of the request to open a Turbo Trade is communicated to the Client through the Platform. If the request is accepted, the Client will be able to see the information concerning the opened Turbo Trade in the relevant section of the Platform. If the request is rejected or an Error status is assigned to the Turbo Trade, the Client will receive an appropriate notification through the Platform, where technically available.
3.11. If the Client does not receive confirmation that the Turbo Trade has been opened or a notification that the request has been rejected, the Client should not assume that the Turbo Trade has been opened and may contact Customer Support to verify the status of the request.
3.12. The Client may not cancel or withdraw a request to open a Turbo Trade after it has been submitted to the Company’s server.
3.13. The terms and parameters displayed before the opening of a Turbo Trade, including the Maximum Profit Percentage, are indicative until the Turbo Trade is opened. The terms applicable to a particular Turbo Trade become binding upon its opening and are recorded in the Company’s system in accordance with this Agreement.
3.14. The Trade Amount is deducted from the Client’s available funds upon the opening of the Turbo Trade in accordance with the applicable rules governing the Client’s Account and the use of Real Funds and Bonus Funds.
3.15. After a Turbo Trade has been opened, the Client may not change the Direction, Trade Amount or Duration or otherwise modify the Turbo Trade, except as expressly provided in this Agreement.

4. Profit Percentage

4.1. The Profit Percentage is dynamic and is determined separately for each Turbo Trade at the moment the trade is opened.
4.2. The Profit Percentage may vary between individual Turbo Trades, including Turbo Trades involving the same Asset and the same Client. The Profit Percentage may vary depending on market activity and volatility associated with the selected Asset.
4.3. The Maximum Profit Percentage available to the Client may depend on the Client’s Service Level and the selected Asset.
4.4. The Company does not guarantee that the Client will receive the Maximum Profit Percentage displayed before opening a Turbo Trade.
4.5. Once assigned, the Profit Percentage remains fixed until the Turbo Trade expires and shall not change as a result of subsequent movements in the Asset Price.
4.6. The Client may review the Profit Percentage assigned to a completed Turbo Trade in the Trade History.

5. Expiration of Turbo Trades

5.1. Each Turbo Trade has a Duration selected by the Client when submitting the request to open the Turbo Trade. The Duration determines the period between the opening of the Turbo Trade and its Expiration Time.
5.2. The Expiration Time is determined by the Company’s system based on the selected Duration and is recorded when the Turbo Trade is opened.
5.3. A Turbo Trade automatically closes at its Expiration Time. The Client is not required to take any further action to close the Turbo Trade.
5.4. The outcome of a Turbo Trade is determined at the Expiration Time by comparing the Opening Price and the Expiration Price of the relevant Asset in accordance with this Agreement.
5.5. Changes in the Asset Price, market conditions or other circumstances during the Duration do not change the Profit Percentage applicable to that Turbo Trade at the moment the Turbo Trade has been opened.
5.6. A Turbo Trade cannot be closed before its Expiration Time, cancelled, extended or otherwise modified after opening, unless expressly provided otherwise by this Agreement.
5.7. If a Turbo Trade cannot be normally closed or settled at its Expiration Time due to a technical error, pricing error, market disruption or other exceptional circumstance, the Turbo Trade may be assigned an Error status. The consequences of an Error, including the treatment of the Trade Amount, are determined in accordance with the applicable provisions of this Agreement.

6. Service Levels

6.1. The Service Level applicable to the Client determines the Maximum Profit Percentage and certain limits and conditions applicable to Turbo Trades.
6.2. The Maximum Profit Percentage applicable to each Service Level is as follows:
a) Starter - 150%;
b) Sprinter -200%;
c) Racer - 250%;
d) Flash - 300%.
The Company may change the Maximum Profit Percentage applicable to any Service Level from time to time. Any such change shall apply to Turbo Trades opened after the relevant change takes effect and shall not affect the Profit Percentage already assigned to any Turbo Trade.
6.3. The Maximum Profit Percentage is the maximum percentage that may be assigned to a Turbo Trade for the applicable Service Level. The Maximum Profit Percentage does not mean that every Turbo Trade will have the maximum percentage applicable to the Client’s Service Level.
6.4. The Profit Percentage is determined separately for each Turbo Trade at the time the Turbo Trade is opened and may vary between individual Turbo Trades, including Turbo Trades involving the same Asset and the same Client. The Profit Percentage assigned to a particular Turbo Trade is fixed for the entire Duration of that Turbo Trade.
6.5. The Profit Percentage assigned to a particular Turbo Trade is used to calculate the Profit in accordance with this Agreement. The applicable Profit Percentage is displayed and/or recorded in the Client’s trade history.
6.6. The minimum Trade Amount for a Turbo Trade is 1 USD or 1 EUR, or the equivalent amount in the currency of the Client’s Account.
6.7. The maximum Trade Amount applicable to each Service Level is as follows:
a) Starter - up to 3,000 USD or 3,000 EUR, or the equivalent amount in the currency of the Client’s Account;
b) Sprinter - up to 4,000 USD or 4,000 EUR, or the equivalent amount in the currency of the Client’s Account;
c) Racer - up to 5,000 USD or 5,000 EUR, or the equivalent amount in the currency of the Client’s Account;
d) Flash - up to 5,000 USD or 5,000 EUR, or the equivalent amount in the currency of the Client’s Account.
6.8. The maximum number of Turbo Trades that may be opened simultaneously for each Service Level is as follows:
a) Starter - up to 5 open Turbo Trades;
b) Sprinter - up to 15 open Turbo Trades;
c) Racer - up to 25 open Turbo Trades;
d) Flash - up to 100 open Turbo Trades.
6.9. Once the applicable limit on the number of simultaneously open Turbo Trades has been reached, the Client may open a new Turbo Trade only after one or more of the existing Turbo Trades has closed.
6.10. The Client’s Service Level is determined based on the Client’s accumulated deposits in accordance with the applicable Service Level rules displayed on the Platform. Once the applicable progress threshold is reached, the Client advances to the corresponding Service Level.
6.11. The Client may retain the current Service Level or advance to a higher Service Level. Withdrawal of funds from the Client’s Account does not reduce or otherwise downgrade the Client’s Service Level.
6.12. A Turbo Trade cannot be closed before its Expiration Time, cancelled, extended or otherwise modified after opening. The Direction, Trade Amount and Duration of a Turbo Trade cannot be changed after the Turbo Trade has been opened. Pending orders are not available in connection with Turbo Trades.

7. Closing and Settlement of Turbo Trades

7.1. A Turbo Trade automatically closes upon the Expiration Time. The Client cannot prematurely close, cancel, extend or otherwise modify a Turbo Trade after it has been opened, unless otherwise expressly provided by the Company.
7.2. Upon the closing of a Turbo Trade, the outcome of the Turbo Trade is determined by comparing the Opening Price and the Expiration Price of the relevant Asset in accordance with this Agreement. The applicable financial result of a Turbo Trade (Turbo Trades settlement) is then credited to the Client’s Account, and the Turbo Trade is removed from the list of open trades on the Platform.
7.3. Upon the closing of a Turbo Trade, one of the following outcomes shall apply:
a) Win - applies when the Direction is Up and the Expiration Price is higher than the Opening Price, or when the Direction is Down and the Expiration Price is lower than the Opening Price;
b) Standoff - applies when the Expiration Price is equal to the Opening Price;
c) Loss - applies when the Direction selected by the Client does not correspond to the actual price movement of the Asset, i.e. where the Direction is Up and the Expiration Price is lower than the Opening Price, or where the Direction is Down and the Expiration Price is higher than the Opening Price; or
d) Error - applies when the Turbo Trade cannot be opened, closed or settled in accordance with the normal procedure due to a technical error, pricing error, market disruption or other exceptional circumstance, as further provided in this Agreement.
7.4. In the event of a Win outcome, the Profit is calculated as follows: Profit = Trade Amount * Profit Percentage / 100, where the Trade Amount is the amount allocated to the Turbo Trade by the Client and the Profit Percentage is the percentage assigned to the Turbo Trade at the moment of its opening by the Client.
In the event of a Win outcome, the total Payout credited to the Client’s Account is calculated as follows: Payout = Trade Amount * (100 + Profit Percentage) / 100.
In the event of a Loss outcome, the Client loses the Trade Amount in full. No amount is credited to the Client’s Account in respect of the Turbo Trade.
In the event of a Standoff outcome, the Trade Amount is returned to the Client without any Profit. An amount equal to the Trade Amount is credited to the Client’s Account, and no Profit is credited.
7.5. The Profit Percentage is determined by the Company at the moment the Turbo Trade is opened and remains fixed for the entire Duration of the Turbo Trade. Any subsequent changes in the Asset Price, market volatility or other market conditions do not affect the Profit Percentage applicable to that Turbo Trade.
7.6. The Maximum Profit Percentage displayed before the opening of a Turbo Trade represents the maximum Profit Percentage that may be available for the selected Asset and the Client’s applicable Service Level. It does not guarantee that such percentage will be assigned to the particular Turbo Trade. The Profit Percentage applicable to a particular Turbo Trade is the percentage displayed and recorded at the moment the Turbo Trade is opened.
7.7. The maximum loss on a Turbo Trade is limited to the Trade Amount allocated by the Client to the particular Turbo Trade, subject to the applicable provisions concerning Errors and other exceptional circumstances.

8. Restrictions on Open Turbo Trades

8.1. Once a Turbo Trade has been opened, the following actions are not available to the Client:
a) changing the Direction;
b) changing the Duration;
c) changing the Trade Amount;
d) cancelling the Turbo Trade;
e) closing the Turbo Trade before its Expiration Time;
f) extending the Turbo Trade; or
g) placing or modifying a pending order in respect of the Turbo Trade.
8.2. Any functionality that would modify an open Turbo Trade is not available to the Client, unless expressly made available by the Company.
8.3. The restrictions set out in this Section 8 apply throughout the Duration of the relevant Turbo Trade and do not limit the application of any other restrictions or conditions provided for in this Agreement.

9. Market Data and Pricing

9.1. The Company determines the Asset Prices applicable to Turbo Trades using Market Data available to the Company and in accordance with its internal pricing procedures and methodologies.
9.2. Market Data used by the Company may be obtained from different sources depending on the relevant Asset, including exchange-traded markets, over-the-counter markets and other available sources.
9.3. The Company may apply different sources or pricing methodologies to different Assets.
9.4. Market Data and Asset Prices may be affected by market conditions, liquidity, volatility, trading hours, availability of underlying markets and other factors. The Company does not guarantee that the Asset Price displayed on the Platform will correspond to prices displayed by third-party websites, trading platforms, exchanges or other data providers.
9.5. Information obtained from third-party sources does not constitute an authoritative or reliable basis for recalculating the Opening Price, Expiration Price or outcome of a Turbo Trade.
9.6. In the event of a discrepancy, error or inconsistency in Market Data or Asset Prices, the Company may take reasonable measures to correct the relevant data and determine or recalculate the applicable price or outcome in accordance with this Agreement and the Company’s pricing procedures.

10. Bonus Funds

10.1. Where the Client has an active bonus that permits the use of Bonus Funds for eligible Turbo Trades, a Turbo Trade may be funded using Real Funds and, where the available Real Funds are insufficient to cover the full Trade Amount, using Bonus Funds.
10.2. When opening a Turbo Trade, available Real Funds are used first. Bonus Funds may be used only to cover the portion of the Trade Amount that cannot be covered by the Client’s available Real Funds, subject to the applicable Bonus Terms.
10.3. Where a Turbo Trade is funded using both Real Funds and Bonus Funds, the Profit resulting from a Win shall be allocated between Real Funds and Bonus Funds in proportion to the respective portions of the Trade Amount funded with such funds, subject to the applicable Bonus Terms.
10.4. Only the portion of the Trade Amount funded with Real Funds shall count towards the Client’s Bonus turnover progress, subject to the applicable Bonus Terms.
10.5. The portion of the Trade Amount funded with Bonus Funds shall be used in the Turbo Trade but shall not count towards the Bonus turnover requirement, subject to the applicable Bonus Terms.
10.6. The use, allocation, turnover, conversion, withdrawal and expiry of Bonus Funds are subject to the applicable Bonus Terms. In the event of any conflict between this Section and the applicable Bonus Terms, the Bonus Terms shall apply to matters specifically concerning the relevant bonus.

11. Demo Account

11.1. The Company may make Turbo Trades available on a Demo account for practice and familiarization purposes.
11.2. Turbo Trades conducted on a Demo account do not involve Real Funds or Bonus Funds and do not create any right or entitlement to payment, withdrawal or other transfer of any amounts displayed or accrued on the Demo account.
11.3. The parameters, availability and functionality of Demo Turbo Trades may differ from those applicable to Turbo Trades conducted using Real Funds.
11.4. The Company may modify, restrict, suspend or discontinue the availability of Turbo Trades on a Demo account at any time.

12. Risk Disclosure

12.1. Turbo Trades involve a risk of financial loss.
12.2. In the event of a Loss outcome, the Client loses the Trade Amount in full. No amount is credited to the Client’s Account in respect of the Turbo Trade.
12.3. The Maximum Profit Percentage displayed before opening a Turbo Trade is not guaranteed. The actual Profit Percentage is determined when the Turbo Trade is opened and may be lower than the applicable Maximum Profit Percentage.
12.4. The Client should carefully consider their financial circumstances, financial objectives and risk tolerance before using the Service.
12.5. The Client acknowledges that past results, including results of Demo trading, do not guarantee or indicate future results.

13. Technical Errors and Exceptional Circumstances

13.1. The Company may take reasonable measures to correct, cancel, adjust or otherwise resolve a Turbo Trade affected by a technical error, pricing error, system malfunction, interruption or unavailability of Market Data, or other circumstance that prevents the Turbo Trade from being opened, closed or settled in accordance with this Agreement.
13.2. Where a Turbo Trade receives an Error status, the Company may determine the applicable treatment of the Trade Amount and any other amounts associated with such Turbo Trade in accordance with the circumstances giving rise to the Error and the applicable provisions of this Agreement and the Company’s policies.
13.3. Exceptional circumstances means circumstances materially different from normal market, technical or operational conditions that may affect the Company’s ability to provide the Service or to process, open, close or settle Turbo Trades in accordance with the ordinary procedures set out in this Agreement. Exceptional circumstances may include, without limitation:
a) market conditions under which Market Data or Asset Prices are received less frequently, become unavailable or are materially delayed compared with normal conditions;
b) rapid or substantial changes in Asset Prices or other market conditions occurring within a short period of time;
c) publication or release of major macroeconomic indicators or other economic data having a significant potential impact on financial markets;
d) announcements or decisions concerning interest rates or other material monetary policy measures by central banks;
e) public statements, speeches, presentations or other announcements by central banks, heads of state, finance ministers, senior representatives of companies or exchanges, or other persons or institutions whose actions or statements may materially affect financial markets;
f) foreign exchange market interventions or other material interventions by governmental or regulatory authorities;
g) terrorist acts, natural disasters, epidemics or other events affecting a country or a significant geographical area;
h) war, military actions, armed conflicts, riots, civil unrest or similar events;
i) political force majeure events, including material changes in government, elections, resignations or appointments of senior governmental officials, or other political events capable of materially affecting financial markets;
j) technical failures, malfunctions or incorrect operation of the Company’s systems, Platform, communication networks, Market Data sources, liquidity or pricing providers, or other third-party equipment, software or infrastructure, where such circumstances affect the Company’s ability to provide the Service in the ordinary manner;
k) any circumstances qualifying as force majeure or other circumstances beyond the Company’s reasonable control; and
l) any other extreme, unusual or unavoidable circumstances that may materially affect the normal operation of the Service or the integrity, availability or reliability of Market Data.
13.4. In exceptional circumstances, the Company will use reasonable efforts to process and settle Turbo Trades in accordance with the ordinary procedures set out in this Agreement. However, where reasonably necessary due to the relevant circumstances, the Company may:
a) reject or decline individual requests to open Turbo Trades;
b) restrict or temporarily suspend the availability of Turbo Trades for particular Assets, Durations, Service Levels, jurisdictions or Clients;
c) limit the number of requests that may be submitted by a Client within a specified period;
d) limit or temporarily change the periods during which Turbo Trades may be opened for particular Assets;
e) temporarily suspend the opening of Turbo Trades for particular Assets or fully suspend the Service;
f) apply different Profit Percentage parameters to Turbo Trades that have not yet been opened, including reducing the Maximum Profit Percentage or the Profit Percentage otherwise available for new Turbo Trades; and
g) where an exceptional circumstance materially affects an already opened Turbo Trade and prevents its proper closing or settlement, take reasonable measures to determine, correct, adjust or, where necessary, cancel the applicable financial result in accordance with the circumstances and the applicable provisions of this Agreement.
13.5. Any measures taken under this Section will be applied to the extent reasonably necessary to address the relevant exceptional circumstance and to maintain the integrity and proper functioning of the Service. The Company will not be required to maintain ordinary trading conditions where doing so would be impracticable or would materially compromise the operation of the Service, the reliability of Market Data or the proper processing or settlement of Turbo Trades.
13.6. Where an exceptional circumstance affects a Turbo Trade, the Company may assign an Error status to the relevant Turbo Trade where the Turbo Trade cannot be opened, closed or settled in accordance with the ordinary procedures. The consequences of such Error, including the treatment of the Trade Amount and any applicable Payout or Profit, will be determined in accordance with this Agreement and the circumstances giving rise to the Error.

14. Availability and Changes

14.1. The Company does not guarantee that Turbo Trades will be available at all times or for any particular Asset, Duration, Service Level, Client or jurisdiction.
14.2. The Company may modify, suspend or discontinue the Service or any of its features, including the Assets, available Durations, Maximum Profit Percentages, Trade Amount limits and limits on simultaneously open Turbo Trades.
14.3. Unless otherwise required by applicable law or expressly provided in this Agreement, any changes to the Service or its parameters shall apply to Turbo Trades opened after the relevant change takes effect and shall not affect the terms of a Turbo Trade that has already been opened.
14.4. The Company may amend this Agreement in accordance with the applicable procedure for amendments to the terms governing the Client’s use of the Platform.

15. Account Security, Identification and Verification

15.1. The Client shall provide true, accurate, reliable and complete identification and contact information during registration and throughout the use of the Platform and the Service.
15.2. Following successful registration and, where applicable, completion of the required verification procedures, the Client may access the Platform and the Service, fund the Account and perform transactions in accordance with this Agreement and other applicable terms.
15.3. The Client shall promptly notify the Company of any changes to the Client's identification, contact or other information relevant to the Client's Account, eligibility or use of the Service.
15.4. The Company may, at any time, request from the Client any documents or information reasonably required to identify and verify the Client, including information concerning the Client's identity, residence, source or origin of funds, financial standing, eligibility or compliance with applicable legal and regulatory requirements.
15.5. The Client shall provide the requested documents and information within the period specified by the Company. Such documents and information may include, without limitation, identity documents, proof of residence, source of funds documentation, information concerning financial standing and any other documents or information reasonably required by the Company.
15.6. The Company may require enhanced verification procedures where reasonably necessary, including video verification, verification through an authorised representative or other reasonable identification and verification procedures.
15.7. If the Client fails to provide the requested information or documents, provides incomplete, inaccurate or unreliable information, or the Company is otherwise unable to complete the required verification, the Company may restrict, suspend or block the Client's access to the Platform, Account or Service, including the ability to open or maintain Turbo Trades, until the applicable requirements are satisfied.
15.8. Access to the Account or Platform may be protected by a password, authentication credentials, one-time codes or other authentication methods made available by the Company.
15.9. The Client shall keep all Account credentials and authentication information confidential and shall not disclose, transfer or otherwise make them available to any third party. The Client shall take reasonable measures to prevent unauthorised access to the Account.
15.10. The Client may change or recover Account credentials only through the procedures made available by the Company.
15.11. Subject to applicable law and unless the Company determines otherwise based on the circumstances, transactions, requests and any other actions performed through the Client's Account using valid authentication credentials may be treated by the Company as authorised by the Client.
15.12. The Company shall not be responsible for losses or other consequences resulting from the Client's failure to protect Account credentials or authentication information, including their loss, theft, disclosure or unauthorised use, except to the extent that such responsibility cannot be excluded or limited under applicable law.

16. Claims and Dispute Resolution

16.1. The Client shall first attempt to resolve any dispute, disagreement, claim or complaint arising out of or in connection with the Service, any Turbo Trade, this Agreement or the Client's relationship with the Company through the internal claims procedure set out in this Section 16.
16.2. Any claim or complaint shall be submitted to the Company in writing and shall contain sufficient information to enable the Company to identify and review the matter. The Client should provide:
a) the Client's full name and email address associated with the Account;
b) the Client's Account ID or other identifying information;
c) the date and approximate time of the relevant event;
d) a description of the circumstances giving rise to the claim;
e) the Turbo Trade or transaction to which the claim relates, including its relevant details where available;
f) the amount claimed and the basis for its calculation;
g) the provisions of this Agreement or other applicable terms relied upon by the Client;
h) any documents, screenshots, records or other evidence supporting the claim; and
i) any other information reasonably necessary for the Company to review the matter.
16.3. The Client shall submit any claim within five (5) working days from the date of the event giving rise to the claim, unless a longer period is required by applicable law. Claims submitted after this period may be rejected by the Company.
16.4. The Client shall initially submit the claim to the Company's Customer Support by email at [email protected].
16.5. The Company may request from the Client any additional information, documents, explanations or verification reasonably necessary to review the claim. The Client shall provide such information within the period specified by the Company.
16.6. The Company may decline to consider or may reject a claim where the Client fails to provide information or documents reasonably necessary for its review, provides materially inaccurate or misleading information, fails to submit the claim within the applicable time period, or otherwise fails to comply with the claims procedure set out in this Section 16.
16.7. Claims and communications submitted under this Section 16 shall be factual and relevant to the matter in dispute. The Company may decline to consider communications containing threats, abusive, offensive or profane language, or communications unrelated to the subject matter of the claim. This shall not affect the Client's rights under applicable law.
16.8. In reviewing a claim, the Company relies on its server records, database records, transaction records, Account records, Market Data, communications, system logs and other technical records maintained by or on behalf of the Company. The Client acknowledges and agrees that, subject to applicable law, such records shall constitute the sole authoritative and conclusive source of information and evidence for the purposes of reviewing, determining and resolving any dispute or claim arising out of or in connection with the Service or any Turbo Trade.
16.9. The Company's server and system records shall constitute the primary source of evidence for determining, among other things, whether a request was received and accepted, the time at which a Turbo Trade was opened, the Asset, Trade Amount, Direction, Opening Price, Profit Percentage, Expiration Time, Expiration Price, outcome and settlement of a Turbo Trade.
16.10. Information, quotations, records or data obtained from third-party websites, platforms, exchanges, brokers, data providers or other external sources shall not, by themselves, constitute sufficient grounds for the Company to modify, cancel or recalculate a Turbo Trade or its financial result.
16.11. The Company shall review and respond to the claim within ten (10) business days, excluding any period during which the Company is awaiting additional information or documents requested from the Client. Where the circumstances of the claim require additional investigation, the Company may extend the review period for a reasonable period and shall notify the Client where appropriate.
16.12. If the claim remains unresolved following such escalation, the Client may submit the claim to the Company's designated claims department at [email protected] within 2 (two) business days. The Company may require the Client to complete an additional identity or account verification procedure before the claim is considered by the claims department.
16.13. The Company shall consider the escalated claim within ten (10) business days, excluding any period during which the Company is awaiting additional information or documents from the Client, unless a longer period is reasonably required due to the complexity of the matter or applicable legal or regulatory requirements.
16.14. Completion of the internal claims procedure does not limit any mandatory rights of the Client under applicable law, including any right to refer a dispute to a court, regulatory authority, competent authority or independent dispute resolution body where such right is available.
16.15. The Company may publish a separate complaints procedure setting out additional requirements, escalation stages, contact details and applicable response periods. Any such procedure duly made available by the Company shall form part of the contractual framework governing the Client's use of the Service.
16.16. Where an independent dispute resolution mechanism is made available by the Company or is applicable to the Client under the relevant legal or regulatory framework, the Client may use such mechanism subject to its applicable rules but only after following completion of the Company's internal claims procedure, unless otherwise required or permitted by applicable law.

17. Applicable Law and Jurisdiction

17.1. This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which the Company is registered.
17.2. Subject to applicable law, the Client agrees that the courts of the jurisdiction in which the Company is registered shall have exclusive jurisdiction to resolve any dispute, claim or proceeding arising out of or in connection with this Agreement, the Service or any Turbo Trade.
17.3. Subject to applicable law, the Client submits to the jurisdiction of such courts and agrees not to challenge such jurisdiction on the grounds of inconvenience of the forum or otherwise.

18. Force Majeure

18.1. The Company shall not be liable for any failure or delay in performing its obligations under this Agreement to the extent that such failure or delay is caused by a force majeure event beyond the Company's reasonable control.
18.2. Force majeure events may include, without limitation:
a) acts of God, natural disasters, earthquakes, floods, hurricanes, storms, fires, epidemics and other natural or public emergencies;
b) war, military or armed conflict, invasion, acts of terrorism, riots, civil unrest, rebellion or insurrection;
c) strikes, lockouts or other widespread industrial disputes, except those involving solely the Company's own personnel where the Company could reasonably have prevented or mitigated their effects;
d) acts or omissions of governmental authorities, changes in law, governmental restrictions, embargoes or sanctions, where these prevent or materially impede the Company from performing its obligations under this Agreement;
e) widespread failures or interruptions of power supply, telecommunications networks, internet infrastructure or other essential public infrastructure; and
f) any other event or circumstance beyond the Company's reasonable control that could not reasonably have been prevented or overcome and that materially prevents or impedes the Company from performing its obligations under this Agreement.
18.3. For the duration and to the extent that a force majeure event prevents or delays the Company's performance of its obligations, the Company may suspend performance of the affected obligations for as long as the event continues. The Company shall take reasonable steps, where practicable, to mitigate the effects of the force majeure event.
18.4. The Company may notify the Client of a force majeure event affecting the provision of the Service where reasonably practicable and where such notification is not prohibited by law or prevented by the circumstances.

19. Liability and Responsibility of the Parties

19.1. The responsibilities of the Parties under this Agreement shall be determined by the terms of this Agreement and the documents incorporated into it.
19.2. The Company shall be liable to the Client only for actual losses directly caused by the Company's deliberate failure to fulfil its obligations expressly specified in this Agreement.
19.3. The Client shall be liable to the Company for damages incurred by the Company through the Client's fault, including:
a) damages resulting from the Client's failure to provide, or late provision of, any documents required under this Agreement or any documents incorporated into it, and damages resulting from any false, inaccurate or misleading information contained in documents provided by the Client;
b) damages resulting from the Client's abuse of the Service, including the use of automated transaction algorithms, robots, special software or other tools, devices, methods or techniques that facilitate or contribute to a breach of the principles of integrity, honesty and fair dealing in connection with Turbo Trades;
c) damages resulting from actions coordinated with other Clients and/or persons affiliated with the Client and aimed at causing losses to the Company, as well as damages resulting from the Client's use of unfair or dishonest methods in connection with Turbo Trades, including the abuse of Bonus Funds. For the purposes of this clause, persons affiliated with the Client may include persons related to the Client by kinship, relatives of the Client, family members, partners or other persons having a close relationship with the Client; persons residing at the same address; persons using the same devices; persons introduced to the Company as Clients by the same partner or Client of the Company; and persons participating in any joint or coordinated activity, whether or not through a legal entity. The Company reserves the right to expand the list of circumstances and indicators on the basis of which the Client and other persons may be recognised as affiliated, to the extent permitted by applicable law;
d) damages resulting from the Client's attempted unlawful use of the Platform, the Service or the Company's software, or the unlawful use of funds transferred to the Company's accounts, where the Company has sufficient evidence of such conduct;
e) damages resulting from the Client's obtaining an advantage through the technical features of the Company's quote-feed updating system, or through errors, defects or vulnerabilities in the Platform, the Service or the Company's software;
f) damages resulting from the Client's use of insider, confidential or other information that provides the Client with an improper advantage in connection with Turbo Trades.
Where the Company has grounds to establish that such damages have been caused, the Company shall have the right, to the extent permitted by applicable law and this Agreement, to deduct the relevant damages from the Client's Account and/or the accounts of other persons where the Company establishes, using its technical and other means, that such accounts belong to the Client or persons acting together with or on behalf of the Client. The Company shall also have the right to block further transactions or restrict access to the Platform, the Account or the Service where it has sufficient grounds to suspect that the Client's actions, including actions coordinated with other Clients, are aimed at causing damage to the Company. The Company may transfer amounts attributable to such damages from the Client's Account to the Company's account.
19.4. In the event of a breach of this Agreement by the Client, the Company shall have the right, at its discretion and to the extent permitted by applicable law, to:
19.4.1. Revise the amount of the Company's financial obligations to the Client and amend the balance or other relevant records of the Client's Account.
19.4.2. Suspend the provision of the Service to the Client and restrict or block the Client's access to the Platform, the Account or the Service. Where access is blocked, the Client shall take all necessary and reasonable steps to remedy the circumstances that resulted in the block. If the Client fails to take such steps within thirty (30) days, the Company shall have the right to deduct the funds remaining in the Client's Account. The Company may, but shall not be obliged to, restore any such funds to the Client's Account if the Client subsequently satisfies the requirements for lifting the block.
19.5. If the Client breaches this Agreement or any document incorporated into it, including by refusing to complete required verification or provide required information, the Company shall have the right, at its discretion, to terminate this Agreement, void any Turbo Trade or other transaction affected by the breach, close one or more or all of the Client's open Turbo Trades, and discontinue providing the Service to the Client, with or without returning the relevant funds to the Client. A Client who has committed such a breach shall not be entitled to demand payment or a refund in respect of amounts affected by the breach.
19.5.1. Where the Company has terminated this Agreement because of the Client's breach, the Client shall not be entitled to open a new Account, including by using another person's details during registration. If the Company establishes that the Client has breached this clause, the measures specified in Clause 19.5 may apply.
19.6. The Company shall not be liable to the Client for any damages, losses, lost profits, missed opportunities, including those resulting from possible market fluctuations, expenses or other detriment incurred by the Client as a result of opening, holding or settling Turbo Trades in accordance with this Agreement.
19.7. The Company shall not be liable for discrepancies between information displayed on the Platform or in the Client's Account and information recorded on the Company's servers when determining the outcome or financial result of a Turbo Trade. Any such discrepancy shall be resolved by adjusting the information displayed on the Platform or in the Client's Account to reflect the information recorded on the Company's servers, subject to the correction of demonstrable technical or recording errors.
19.8. The Company shall not be liable for damages incurred by the Client as a result of hacker attacks, accidents, failures or malfunctions of computer networks, communication networks, power lines, telecommunications systems or other infrastructure used to receive, transmit or process requests to open Turbo Trades, determine their terms or operate the Platform, where such events occur through no fault of the Company.
19.9. The Company shall not be liable for technical failures or interruptions in the operation of the Platform or the Service resulting from hacker attacks, accidents, failures or malfunctions of computer networks, communication networks, power lines, telecommunications systems or other relevant infrastructure, or for any damages incurred by the Client as a result of such failures or interruptions.
19.10. The Company shall not be liable for the results of Turbo Trades opened by the Client on the basis of analytical materials, information or other content provided by the Company or third parties. The Client acknowledges that Turbo Trades involve the risk of losing the entire Trade Amount allocated to a Turbo Trade that results in a Loss, in accordance with this Agreement. Unless the Client's losses result from fraud, a deliberate breach of obligations by the Company or gross negligence on the part of the Company, the Company shall not be liable for losses, expenses, costs or damages resulting from inaccurate information provided to the Client, including information relating to Turbo Trades, subject to applicable law. The Company reserves the right to cancel, void, close or otherwise adjust a Turbo Trade in the circumstances provided for in this Agreement.
19.11. The Company shall not be liable for losses incurred by the Client as a result of the theft, loss or disclosure of the Client's Account password, authentication credentials or other access details to third parties. The Client shall be responsible for protecting such credentials and safeguarding them against unauthorised access by third parties, subject to applicable law.
19.12. The Company shall not be liable for any failure or improper performance of its obligations under this Agreement to the extent that such failure or improper performance is caused by a force majeure event or exceptional circumstances as provided for in this Agreement.
19.13. The Company shall not be liable for any indirect, special, exemplary or punitive damages incurred by the Client, including lost profits, loss of expected savings or loss of income, even if the Company has been informed of the possibility of such damages. Non-pecuniary damage shall not be compensated, to the extent permitted by applicable law.
19.14. The Company reserves the right to review and address breaches of this Agreement whenever they are discovered, regardless of when the relevant breach occurred, and to take the measures provided for in this Agreement in response to such breaches, subject to applicable law.

20. Termination of the Agreement

20.1. This Agreement shall enter into force when the Client accepts it in accordance with Section 1 and shall remain effective for an indefinite period unless terminated in accordance with this Agreement or applicable law.
20.2. The Client may terminate this Agreement by submitting a written notice to the Company via email [email protected], provided that the Client has no outstanding obligations under this Agreement and all matters relating to previously opened Turbo Trades have been settled or otherwise resolved.
20.3. The Company may terminate this Agreement at any time by providing notice to the Client or without providing notice to the Client subject to its own discretion.
20.4. The Company may terminate this Agreement with immediate effect, restrict or suspend the Client's access to the Platform, Account or Service, or take other measures available under this Agreement where:
a) the Client breaches this Agreement or any document incorporated into it;
b) the Client provides false, inaccurate, misleading or incomplete information;
c) the Client fails to complete required identification, verification or compliance procedures;
d) the Client becomes subject to a restriction, prohibition or other circumstance that makes continued provision of the Service unlawful or inappropriate;
e) the Company has reasonable grounds to suspect fraud, abuse, unlawful activity, circumvention of the Company's controls or other serious misconduct;
f) termination or restriction is required or reasonably necessary to comply with applicable law, regulatory requirements, sanctions, a court order or a request from a competent authority; or
g) under any other circumstances set out in this Agreement.
20.5. Termination of this Agreement shall not affect any rights, obligations or liabilities that accrued before the effective date of termination or any provisions which by their nature are intended to survive termination, except as otherwise expressly provided in this Agreement, including with respect to the cancellation, closure or settlement of open Turbo Trades and the adjustment, withholding or return of funds following termination.
20.6. Following termination, the Company may retain records relating to the Client, Account, transactions and use of the Service for the period and purposes required or permitted by applicable law, regulatory requirements and the Company's legitimate compliance obligations.

21. Final Provisions

21.1. The Company may unilaterally amend or supplement this Agreement and any documents incorporated into it. Any amendments or supplements that are not made in connection with the circumstances specified in Clause 21.2 shall enter into force on the date specified by the Company.
21.2. Amendments or supplements made by the Company as a result of changes to applicable legislation or regulations governing the subject matter of this Agreement, or changes to the rules or agreements of trading systems used by the Company to fulfil its obligations under this Agreement, shall enter into force simultaneously with the relevant changes to such legislation, regulations, rules or agreements.
21.3. Once effective, amendments and supplements to this Agreement shall apply to all Clients, including Clients who accepted this Agreement before the effective date of the relevant amendments or supplements.
21.4. The Client is responsible for keeping informed of amendments and supplements to this Agreement by visiting the Company's website or Platform, personally or through an authorised person, at least once a week.
21.5. Where the Client provides personal data to the Company by any means or in any form, including through the Platform or through the Company's counterparties, the processing of such personal data shall be governed by the Company's Privacy Policy and applicable law. To the extent permitted by applicable law, the Client's personal data may be processed by automated and non-automated means by the Company and its relevant partners for the purposes of entering into and performing this Agreement, administering the Client's Account, providing the Service, conducting advertising and marketing activities, sending informational and promotional materials, informing the Client about campaigns and events, and for other purposes disclosed in the Privacy Policy. Such processing may include the collection, recording, organisation, structuring, storage, adaptation, alteration, retrieval, consultation, use, disclosure by transmission, dissemination or otherwise making data available, alignment, combination, restriction, erasure and destruction, including cross-border processing where permitted by applicable law. Personal data shall be retained for the period specified in the Privacy Policy or otherwise required or permitted by applicable law. The Client may exercise any applicable rights, including withdrawing consent where processing is based on consent, in accordance with applicable law and the procedures set out in the Privacy Policy. The Company shall protect personal data in accordance with its Privacy Policy and applicable law, subject to disclosures required or permitted by law and other circumstances recognised by applicable law.
21.6. The Client may use information provided orally or in writing, published by the Company or by third parties, or otherwise made available to the Client in connection with the Service, solely for the purposes of using the Service in accordance with this Agreement. The Client shall not disseminate, modify, supplement or store such information in separate archives except as expressly permitted by the Company or applicable law. Where information is provided by a third party, the scope of the Client's rights to use such information shall not exceed the scope of the rights granted to the Company by that third party. The Company does not guarantee that third-party information is reliable, accurate, up to date or continuously available without interruption. The Company shall not be liable for the results of Turbo Trades or other actions taken by the Client on the basis of information communicated orally or in writing by the Company or third parties, subject to the provisions of this Agreement and applicable law.
21.7. The Company may assign or transfer all or part of its rights and obligations under this Agreement to a third party, provided that such third party undertakes to comply with the applicable terms of this Agreement. To the extent permitted by applicable law, such assignment or transfer shall not require prior notice to the Client and shall take effect when the relevant information is published on the Company's website.
21.8. The Client may not assign or transfer any of the Client's rights or obligations under this Agreement, or otherwise dispose of them, without the Company's prior written consent. Any assignment or transfer made in breach of this clause shall be invalid to the extent permitted by applicable law.
21.9. The Company, its partners or other affiliated persons may have a material interest, legal relationship or arrangement in connection with Turbo Trades, an Underlying Asset or other matters related to the Service, including an interest that may conflict with the Client's interests. For example, the Company or such persons may:
a) act as a counterparty in relation to an Underlying Asset or a transaction related to it;
b) recommend or engage another partner or counterparty in connection with an Underlying Asset or a transaction related to it; or
c) provide recommendations or services to partners or other Clients in relation to Underlying Assets in which the Company, its partners or other affiliated persons have an interest, even where such interest may conflict with the Client's interests.
21.10. The Client acknowledges and agrees that the Company may act in connection with the Service and Turbo Trades in the manner the Company considers appropriate, subject to this Agreement and applicable law, notwithstanding a potential conflict of interest or the existence of a material interest in relation to an Underlying Asset or Turbo Trade, without prior notice to the Client where permitted by applicable law. The Company may also enter into arrangements with parties with which the Company or its affiliates have agreements for the provision of goods or services, including arrangements intended to facilitate access to information or services that might otherwise be unavailable.
21.11. If any provision of this Agreement, or any part thereof, is held by a court of competent jurisdiction to be invalid, unlawful or unenforceable, that provision or part shall be treated as severable from the remainder of this Agreement. The remaining provisions shall continue in full force and effect to the extent permitted by applicable law.
21.12. The Company may suspend the provision of the Service to the Client at any time, with or without prior notice.
21.13. In matters not expressly addressed by this Agreement, the Parties' rights and obligations shall be determined in accordance with applicable law.
21.14. The Company may prepare and publish translations of this Agreement and any documents incorporated into it. In the event of any inconsistency between the English version and a version in another language, the English version shall prevail, to the extent permitted by applicable law. The version of this Agreement published on the Company's official website shall prevail over copies published elsewhere, subject to any mandatory requirements of applicable law.
21.15. The Client is granted a limited, non-exclusive, non-transferable right to access and use the Platform solely for the purposes permitted under this Agreement. Upon termination of this Agreement for any reason, the Client's right to access and use the Platform for the purposes of the Service shall cease, subject to any rights or obligations that survive termination under this Agreement or applicable law.
21.16. The Client acknowledges that the Company does not guarantee that the Platform or the Service will operate continuously, without interruption or error, or in a technically faultless manner. The Platform and the Service are provided “as is”, and the Company's liability for malfunctions, interruptions or technical failures shall be determined in accordance with Section 19 and applicable law.
21.17. Unless the context or the nature of a particular provision requires otherwise, defined terms used in this Agreement and documents incorporated into it shall have the same meaning whether used in uppercase or lowercase.
