ZEMMY TRADE RISK DISCLOSURE

1. Scope of the Risk Disclosure

This Risk Disclosure (the “Disclosure”) describes the principal risks associated with entering into Turbo Trades through the Zemmy Trade platform (the “Platform”) operated by ASSETA (BVI) LTD. (the “Company”).
This Disclosure is intended to help Clients understand the nature of the risks involved before using the Service provided by the Platform. The list of risks given in this Disclosure is not exhaustive because of the variety of possible situations that arise during transactions. It cannot describe every possible risk or determine how those risks may affect a particular Client's financial circumstances, objectives or capacity to bear losses.
This Disclosure should be read together with the Turbo Trades Terms and Conditions (the “Agreement”) and other applicable terms and policies governing the Service. It is not investment advice, a personal recommendation or a guarantee of any particular outcome.
Clients should carefully consider whether the Service is appropriate for them, taking into account its nature and the risks involved. By using the Service, Clients acknowledge that they understand its nature and the risks involved. Where necessary, Clients should seek independent financial, legal or tax advice.

2. Risk of Financial Loss

Entering into Turbo Trades involves a risk of losing money. A Client may lose the entire amount allocated to an individual Trade. Repeated unsuccessful trades may result in the loss of a substantial portion or all of the funds the Client has made available for trading.
In addition to the risk of losing the entire Trade Amount allocated to a Trade, the Client should be aware that, in the circumstances specified in the Agreement, the Company may be entitled to recover damages caused by the Client, deduct relevant amounts from the Client's Account, revise its financial obligations to the Client or make adjustments to the Client's Account balance. Such measures may apply, for example, where the Client breaches the Agreement or engages in fraudulent, abusive or otherwise prohibited conduct. Accordingly, the Client's potential financial exposure may extend beyond the Trade Amount allocated to an individual Trade in the circumstances provided for in the Agreement.
The potential financial outcome of a Trade is uncertain and cannot be guaranteed. Past outcomes, previous experience, market analysis, strategies or patterns observed by a Client do not reliably predict the outcome of future Trades.
Clients should only use funds they can afford to lose without compromising their essential financial obligations. The Service should not be used as a means of obtaining guaranteed income, recovering previous losses or meeting essential financial commitments.
Turbo Trades do not involve leverage, and the Client cannot assume trading obligations exceeding the Trade Amount allocated to a Turbo Trade. The Client may lose the entire Trade Amount allocated to a Trade. However, in the circumstances specified in the Agreement, the Client may also be liable for additional amounts, including damages caused to the Company by the Client's breach of the Agreement or prohibited conduct.

3. Market Risk and Price Volatility

The prices of Underlying Assets may fluctuate rapidly and unpredictably in response to economic data, interest rate decisions, corporate announcements, political developments, government policies, geopolitical events, changes in market sentiment, natural disasters and other factors.
Different categories of Underlying Assets may be exposed to different risks, including equity market risk, foreign exchange risk and risks associated with changes in the value of market indices or other available assets.
High volatility may cause significant price changes over short periods. Even where the price movement appears small or temporary, it may be sufficient to produce an unfavourable outcome for a Turbo Trade. A Client's view of the general direction of a market may prove correct over a longer period while the outcome of a particular Turbo Trade remains unfavourable.
Market prices may also move contrary to expectations or react unpredictably to publicly available information. No analytical method, trading strategy, indicator or source of market information can eliminate market risk or guarantee a favourable outcome.

4. Short-Term Trading Risk

Turbo Trades involve taking a view on the price movement of an Underlying Asset over a specified, relatively short period. Short-term price movements may be affected by market noise, temporary imbalances, unexpected announcements and fluctuations that are difficult to predict reliably.
A Client may correctly anticipate the broader market trend but incorrectly anticipate the direction or timing of a price movement over the period relevant to a Turbo Trade. Longer-term expectations about an Underlying Asset therefore do not necessarily provide a reliable basis for predicting the outcome of a short-duration trade.
The short duration of Turbo Trades may encourage frequent trading or rapid decisions. Frequent trading can increase the cumulative amount exposed to loss and may lead Clients to make decisions without sufficient consideration of the risks involved.

5. No Ownership of Underlying Assets

A Turbo Trade does not constitute the purchase, sale or physical delivery of an Underlying Asset. The Client does not acquire ownership, voting rights, dividend entitlements or any other rights arising from ownership of the relevant asset merely by entering into a Turbo Trade.
The Underlying Asset serves as a reference for determining the outcome of the Turbo Trade. Accordingly, holding a Turbo Trade does not provide the same rights or economic interests as holding the underlying share, currency or other asset directly.

6. Pricing and Market Data Risk

The prices used for the Service are determined by the Company in accordance with its applicable pricing methodology and the information sources it uses. Those prices may differ from prices displayed by exchanges, other trading platforms, brokers, data providers or other third parties.
Differences may arise because of different data sources, calculation methods, quote-update times, market conditions, network latency or other technical factors. A price displayed by an external source may therefore not correspond to the price used by the Company for the purposes of the Service.
The Company may use exchange-traded, over-the-counter and other sources of market information, depending on the relevant Asset and applicable pricing methodology. The availability, quality, frequency and consistency of such information may vary.
Charts and other visual representations may not display every price update and may be affected by technical or transmission delays. They should not be treated as a guarantee of the price that will be used by the Company.
Clients should be aware that reliance on third-party prices or charts may lead them to form expectations that differ from the prices and outcomes recorded by the Company. Disagreement between external price information and the Company's records does not, by itself, establish that the Company's price was incorrect.

7. Counterparty and Business Risk

Turbo Trades are contractual transactions entered into with the Company under the Agreement. They do not constitute transactions in which the Client acquires the Underlying Asset or necessarily trades directly on an exchange.
The Client is therefore exposed to risks associated with the Company, including risks relating to its ability to continue operating and to perform its contractual obligations. Financial distress, insolvency, operational disruption or other material business events affecting the Company may adversely affect the availability of the Service or the handling of transactions and funds, subject to applicable law and the Agreement.
The Client should not assume that the Service provides the same protections, market access or settlement arrangements as a transaction executed directly on a regulated exchange or through a different financial intermediary.

8. Conflicts of Interest

The Company, its affiliates, partners or other related persons may have interests, relationships or commercial arrangements connected with Underlying Assets, Trades or the provision of the Service. Such interests may differ from, or potentially conflict with, the interests of a Client.
For example, the Company or a related person may have commercial arrangements with other parties involved in providing relevant products or services.
The existence of a potential conflict of interest may affect the commercial context in which the Service is provided. Clients should consider this risk when deciding whether to use the Service and should refer to the Agreement for the provisions governing the Company's interests and arrangements.

9. Liquidity and Abnormal Market Conditions

Market conditions may change rapidly, and information used to determine prices may become less available, less consistent or more difficult to obtain during periods of market stress, outside ordinary trading hours or following unexpected events.
In such circumstances, the Company may experience difficulties in obtaining or processing relevant price information or maintaining the normal operation of the Service. The availability of particular Assets or Service features may also change.
Abnormal market conditions may result in delayed or unavailable information, rejection of requests, interruptions to the Service or other measures taken in accordance with the Agreement. Such events may prevent a Client from using the Service as expected and may affect the handling of an affected Turbo Trade.

10. Technical and Operational Risk

The Service depends on information technology systems, software, servers, data feeds, telecommunications networks, electricity supply and the Client's own device and internet connection. These systems may experience failures, interruptions, delays, overload, cyberattacks, software defects or other technical problems.
A technical issue may prevent a Client from accessing the Platform, receiving current information, submitting a request or seeing information displayed correctly or promptly. Information shown on a Client's device may not always reflect the records held on the Company's servers at the same moment.
The Client's own internet connection, device configuration, software or security settings may also affect access to the Service. The Company cannot guarantee uninterrupted or error-free operation of the Platform or the Service.
Clients should take reasonable steps to secure their devices and account credentials, maintain reliable access to their communication channels and avoid assuming that a request has been processed solely because of an action or message displayed on their device.

11. Communications and Account Security Risk

Clients may miss important notices or other communications if their contact details are inaccurate, outdated or inaccessible, or if their email account, device or communication service is compromised.
Unauthorised access to an Account may result in transactions or other actions being performed without the Client's knowledge. Clients should protect their passwords, authentication details and devices, should not disclose their credentials to third parties and should exercise caution when responding to messages purporting to come from the Company.
Fraudulent persons may impersonate the Company, its employees or representatives. Clients should verify that communications originate from official Company channels before disclosing personal information, account information or authentication details. The Company will not be responsible for losses arising from impersonation or unauthorised access except to the extent provided under the Agreement and applicable law.

12. Third-Party and Information Risk

The provision of the Service may depend on information, infrastructure, technology or services supplied by third parties. The Company may also make information available to Clients that originates from third-party sources.
Third-party systems and services may become unavailable, inaccurate, delayed or subject to disruption for reasons beyond the Company's direct control. The Company does not guarantee that information supplied by third parties will always be accurate, complete, current or continuously available.
Market commentary, analytical materials, educational content and other information made available through the Platform or by third parties may be incomplete, inaccurate or unsuitable for a Client's individual circumstances. Such information should not be treated as a guarantee of future market movements or of the outcome of any Turbo Trade.
Clients remain responsible for independently assessing the relevance and limitations of information they use when making trading decisions.

13. Force Majeure and Events Beyond Control

Events beyond the reasonable control of the Company may affect the operation of the Platform or the Service or the Company's ability to perform its obligations. Such events may include natural disasters, fires, public emergencies, war, terrorism, civil unrest, strikes, failures of public utilities or telecommunications infrastructure, large-scale cyberattacks and governmental or regulatory measures.
The effects of such events may include interruptions to the Service, delays, restrictions on access or other consequences contemplated by the Agreement. The Company’s rights and obligations in these circumstances are governed by the Agreement and applicable law.

14. Legal, Regulatory and Tax Risks

The legal and regulatory treatment of derivative financial instruments and online trading services may differ between jurisdictions and may change over time. The availability or lawful use of the Service may be restricted in certain countries or for certain persons.
Clients are responsible for determining whether they may lawfully access and use the Service in their jurisdiction and for complying with applicable laws and obligations. The Company may restrict or discontinue access where required or permitted under the Agreement or applicable law.
Transactions and financial outcomes associated with Turbo Trades may have tax consequences depending on the Client's jurisdiction, residence and personal circumstances. The Company does not determine the Client's individual tax position. Clients should seek independent professional advice where necessary.

15. No Investment Advice or Guaranteed Results

Information, commentary or analytical materials made available by the Company or third parties do not necessarily take account of the Client's financial circumstances, investment objectives, experience or risk tolerance. Such information should not be treated as individual investment advice or a recommendation to enter into a particular Trade.
No representation is made that any trading strategy, analysis, indicator, educational material or historical result will produce a particular outcome in the future. The Company does not guarantee that the Client will make a profit or recover amounts previously lost.
The Client is responsible for their own trading decisions and for independently assessing whether the risks associated with the Service are acceptable in light of their circumstances.

16. Acknowledgement

By accessing or using the Service, the Client acknowledges that they have read this Disclosure and understand that the Trades involve financial, market, pricing, operational and other risks, including the risk of losing the entire amount allocated to a Trade.
The Client acknowledges that the risks described in this Disclosure are not exhaustive and that additional risks may arise depending on market conditions, the relevant Asset, technical circumstances and other factors.
Nothing in this Disclosure excludes or limits any right or liability that cannot lawfully be excluded or limited. In the event of any inconsistency between this Disclosure and the Agreement regarding the contractual terms governing Trades, the Agreement shall prevail to the extent provided therein.
